1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern your use of the kyaalo website, mobile applications, and services (collectively, the "Platform"), operated by kyaalo ("we", "us", or "our"), a company facilitating e-commerce for local shop owners in Uganda. By creating an account, browsing, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Platform.

2. About kyaalo

kyaalo is an online marketplace that connects customers ("Buyers") with local shop owners ("Sellers") in Uganda, allowing Sellers to list their products and Buyers to purchase them for local delivery. We are a platform provider and are not directly involved in the transaction between Buyers and Sellers, unless explicitly stated.

3. Eligibility & Account

To use certain features of the Platform, you may be required to create an account. You must be at least 18 years old or the age of legal majority in Uganda to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will not use the Platform:

  • In any way that violates any applicable Ugandan national or local laws or regulations.
  • To engage in any fraudulent activity, including purchasing or selling counterfeit goods.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
  • To impersonate or attempt to impersonate kyaalo, a kyaalo employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm kyaalo or users of the Platform.

5. Role of Sellers & Product Information

Sellers are independent entities responsible for their own shops, products, listings, pricing, and fulfillment of orders. While kyaalo provides the platform, we do not own or sell the items listed by Sellers unless explicitly stated. Sellers are responsible for ensuring the accuracy, legality, and quality of their products and listings. kyaalo does not guarantee the accuracy of product descriptions, pricing, or availability provided by Sellers.

6. Purchases & Payments

When you make a purchase through the Platform, you are entering into a contract directly with the Seller. Payment processing services for kyaalo may be provided by third-party payment processors. By providing your payment information, you authorize us and our payment processors to charge the applicable fees. All prices are listed in Ugandan Shillings (UGX) unless otherwise specified.

7. Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by kyaalo, its licensors, or other providers of such material and are protected by Ugandan and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally permitted through the Platform’s functionality.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy to understand our practices regarding your personal data.

9. Disclaimers & Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. kyaalo makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform. To the full extent permissible by Ugandan law, kyaalo disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. kyaalo will not be liable for any damages of any kind arising from the use of the Platform or from any information, content, materials, or products included on or otherwise made available to you through the Platform.

10. Indemnification

You agree to defend, indemnify, and hold harmless kyaalo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

11. Termination

We may terminate or suspend your access to all or part of the Platform, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

12. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Kampala, Uganda, or in a court of competent jurisdiction in Uganda.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and kyaalo regarding your use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
